Business Purpose (as per Articles of Incorporation)
Primary: To offer scuba diving education and certification programs, including entry-level, advanced, specialty, and professional-level courses; and to provide recreational and professional scuba diving services on owned and/or rented boats or banca, including guided dives, dive excursions, and underwater experiences for certified and non-certified divers in compliance with recognized safety standards.

Secondary: To retail, rent, and service diving and snorkeling equipment, including scuba gear, accessories, and related marine recreation products; and to conduct equipment maintenance, inspection, and repair services, including tank filling, equipment servicing, and safety compliance checks. To organize and facilitate marine tourism activities, including snorkeling tours, sports fishing tours, boat dives, underwater photography excursions, and eco-diving experiences, including collaborating with resorts, hotels, travel operators, and tourism stakeholders in providing integrated dive packages and marine adventure services. To establish, operate, and manage a café, lounge or refreshment facility, offering food, beverages, and hospitality services to divers, guests, and the general public as an ancillary service to the dive center’s operations. To promote marine conservation and environmental awareness through responsible diving practices, education initiatives, and participation in reef protection and ocean sustainability programs.

This Certificate of Incorporation grants juridical personality but does NOT authorize the issuance, sale, or offer for sale to the public of securities such as shares of stock, investment contracts, debt instruments, or virtual currencies without a prior approved Registration Statement from the SEC. This corporation is not licensed to undertake activities requiring a Secondary License from the SEC, including but not limited to acting as broker or dealer in securities, government securities eligible dealer (GSED), investment adviser, investment company, financing/lending company, commodity/financial futures exchange/broker/merchant, or time shares/club shares/membership certificate issuers or selling agents thereof; nor to operate a fiat money to virtual currency exchange. This Certificate DOES NOT AUTHORIZE INVESTMENT SOLICITATION AND INVESTMENT-TAKING WITHOUT A SECONDARY LICENSE FROM THE COMMISSION.

Reportorial Obligations
As a registered stock corporation, SEAHAWK WATERSPORTS INC. submits the following annually to the SEC:
– General Information Sheet (within 30 days from the annual stockholders’ meeting, held on March 15)
– Financial Statements (audited if total assets/liabilities ≥ ₱600,000; otherwise certified under oath by President and Treasurer)
– Stock and Transfer Book (stamped within 30 days of incorporation)
